Offshore Company in the UAE

Quick answer

Three registries issue these vehicles: Jebel Ali in Dubai, where an offshore entity is one of five formation types the zone offers; Ajman Free Zone, which issues a distinct offshore licence; and Ras Al Khaimah through its international companies registry. None publishes a tariff. Every figure you find quoted is an agent’s package, because these registries work through approved registered agents and the agent’s fee is bundled into whatever number you are shown. An offshore vehicle gives you no residence permit and no ability to serve customers inside the UAE.

An offshore company in the UAE is a registered vehicle without a physical presence: no office, no staff, no residence permits, and no right to trade inside the domestic market. It exists to own, to invoice internationally or to sit between other entities. Nearly everything written about it online was written before the corporate tax law arrived, which is why the most common claim about it is now the least reliable. This page separates the parts that are still true from the parts that are marketing. Checked on 8 August 2026.

Where they are issued

Registry Emirate What the authority itself says
Jebel Ali Free Zone Dubai Lists an offshore company alongside the Free Zone Establishment, the Free Zone Company and branches of local and foreign companies as its formation types
Ajman Free Zone Ajman Issues a separate offshore licence and gives the intellectual property holding company as a named use, adding that the licence requires registration with the Ministry of Economy afterwards
RAK International Corporate Centre Ras Al Khaimah Operates the emirate’s international companies registry. Its public site could not be read by automated request when this page was written, so no figure or condition is quoted from it here

The choice between them is usually driven by what the vehicle will own and by which registry the counterparty bank recognises, not by the incorporation price, which varies less between registries than between agents.

The claim that has aged badly

Ajman Free Zone’s own offshore page still carries the line 100% tax exemption at the date of checking. Set that against the legislation. The Ministry of Finance states that corporate tax applies to UAE companies and other juridical persons incorporated or effectively managed and controlled in the UAE, and that entities established inside free zones fall within the charge as taxable persons, whose 0% rate reaches qualifying income alone and only once every published test has been satisfied.

The honest reading: incorporation location alone no longer determines the answer. Whether a particular vehicle pays anything turns on what it does, where it is managed and whether it meets published conditions. Corporate tax registration binds taxable persons regardless, and the filing deadline falls nine months after each period closes. Anyone selling you an offshore entity on the strength of a zero tax promise is quoting a brochure rather than a law. The treatment of a vehicle whose purpose is owning shares is set out on our UAE holding company page.

What it can and cannot do

Can Cannot
Own shares in other companies and hold assets Obtain residence permits for owners or staff
Hold intellectual property, which Ajman names explicitly Rent premises and operate from them
Invoice customers outside the UAE Sell to customers inside the UAE domestic market
Open a bank account, subject to the bank’s own acceptance Escape ultimate beneficial ownership reporting

The absence of residence permits is the single most common reason a buyer regrets the choice. If you want to live here, this is the wrong instrument and a free zone or mainland licence is the right one; the trade-offs are laid out in our mainland, free zone and offshore comparison.

Why nobody will show you a price list

These registries do not sell direct. Incorporation goes through an approved registered agent, and the quote you receive combines the registry charge, the agent’s fee, the registered office the agent supplies and the annual renewal that keeps the entity in good standing. Ask any quote to be broken into those four parts. A number that arrives as one line is not comparable with a number from another agent, and the year two renewal is the figure that actually determines what the vehicle costs you.

Budget separately for the things the agent does not charge for and you cannot avoid: keeping ownership records current, corporate tax registration where it applies, and bank due diligence, which for this category of entity is slower and more document-hungry than for a trading licence.

Stated plainly

No incorporation fee appears anywhere on this page. Two of the three registries publish no tariff, and the third could not be read from outside the UAE, so quoting a figure would mean repeating an agent’s marketing as though it were an official rate. The structural facts above are taken from what each authority publishes about itself.

Frequently asked questions

Where can I register an offshore company in the UAE?

Three registries issue them: Jebel Ali Free Zone in Dubai, which lists an offshore company among its formation types, Ajman Free Zone, which issues a separate offshore licence, and the international companies registry in Ras Al Khaimah.

How much does a UAE offshore company cost?

No registry publishes a tariff. Incorporation runs through an approved registered agent, so every figure quoted publicly is an agent package covering the registry charge, the agent fee, the registered office and the annual renewal. Ask for those four components separately before comparing offers.

Is a UAE offshore company tax free?

Not by virtue of being offshore. The Ministry of Finance states that corporate tax applies to juridical persons incorporated or effectively managed and controlled in the UAE, and that free zone juridical persons are taxable persons with 0% available on qualifying income only where the conditions are met. Ajman Free Zone’s own offshore page still displays a 100% tax exemption line, which predates the tax law.

Can I get a residence visa with an offshore company?

No. Offshore vehicles carry no residence permits for owners or employees. If residency is the goal, a free zone or mainland licence is the correct route.

Can an offshore company trade inside the UAE?

No. It cannot sell into the UAE domestic market or operate from rented premises here. It can own assets and shares, hold intellectual property, and invoice customers outside the country.

Do I need a registered agent?

Yes. These registries work through approved registered agents rather than accepting applications direct, which is why the agent relationship and the annual renewal matter more to the running cost than the choice of emirate.
